Business Model Overview

1. Role of Buyer Agents

Buyer Agents will:

• Identify and generate leads for product demand in international markets.

• Represent the interests of overseas buyers looking for quality Indian products.

• Work closely with INSEAIR IMEX to ensure compliance with buyer requirements.

• Receive a commission based on successful transactions.

2. Role of Seller Agents

Seller Agents will:

• Source quality manufacturers, producers, and suppliers from India.

• Negotiate the best deals in terms of price, quality, and proximity to the port of loading.

• Ensure sellers meet international trade and compliance standards.

• Work with INSEAIR IMEX to fulfill buyer demands efficiently.

• Earn a commission based on successful transactions.

How It Works

1. Buyer Agents submit demand leads for specific products required by international buyers.

2. INSEAIR IMEX evaluates the request and collaborates with Seller Agents to source the best supply options.

3. We negotiate pricing, quality assurance, and logistics to ensure a competitive export offer.

4. The best export price is quoted to the buyer, based on the preferred Incoterm.

5. Upon a successful deal, profits are distributed with up to 25% of INSEAIR IMEX’s margin shared between Buyer Agents and Seller Agents.

6. An annual agreement ensures structured collaboration and transparency.

7. INSEAIR IMEX acts as a moderator between these two separate channels, and all communication will be held through WhatsApp chats, calls, video calls, and emails only.

Commission Structure & Payment Terms

• Commissions are deal-specific and calculated based on the total transaction value.

• Commission will be pre-decided based on the quantum of the deal and there won't be any alteration or amendment during or after the export transaction.

• Payments are released once the trade is successfully executed and payments are received.

• Commission agreements are outlined in a legally binding contract, valid for one calendar year, renewable upon mutual consent.

• No financial contribution is required from the Agents.

Legal & Compliance Framework

To protect all parties and maintain transparency, the following legal measures are in place:

• Confidentiality Clause: All trade-related information must be kept confidential by agents and shall not be disclosed to any third party.

• Non-Circumvention Agreement: Agents are prohibited from bypassing INSEAIR IMEX to deal directly with the other party.

• Due Diligence Requirement: All agents must verify the credibility of leads and ensure compliance with trade regulations.

• Payment Security: No commission is payable unless the transaction is fully executed, and payments are received from the buyer.

• Agents will be responsible for all necessary compliance-related paperwork.

Fraud Prevention & Warning Clauses

To safeguard against fraudulent activities, the following warnings are strictly enforced:

• False or Misleading Information: Any agent found misrepresenting buyer demand or seller capabilities will be immediately disqualified from the program.

• Unauthorized Dealings: Agents attempting to negotiate directly with buyers or sellers without INSEAIR IMEX’s involvement will face permanent termination and legal action.

• Payment Fraud Protection: All transactions will be processed through secure financial channels to prevent payment fraud or default.

• All communication can be used against you if found fraudulent in nature. There will be stringent legal consequences in case of cheating, connivance, or fraud.
